Press Release Thomson Learning Announces Acquisition of Group Modulo Inc.

TORONTO, July 20 /CNW/ -- Thomson Learning, a part of The Thomson Corporation
(TSX: TOC - News; NYSE: TOC - News), the world's largest provider of corporate
and professional learning solutions, today announced the acquisition of
Group Modulo, Inc., by Thomson Canada Ltd.
Group Modulo, Inc., based in Montreal, Quebec Canada, is a French-language
publisher of textbooks for the K-12 and post-secondary markets. The addition
of Modulo is a key growth opportunity for Thomson as it provides an entre
into the French-language markets in both the school and higher education
segments. The acquisition of Modulo provides Thomson with the opportunity
to better serve its customers.

Modulo has a long standing history in Quebec. The sale of Modulo to Thomson
Canada Limited provides a great opportunity for our authors and our employees
to continue the development of materials for the new Curriculum in Quebec

The closing date for the acquisition is July 19, 2004.
Further terms of the agreement have not been disclosed.
